Terms of Service

Welcome to StoryRoleAI ("Platform"), operated by StoryRole AI Limited, a company incorporated in Hong Kong ("Company", "we", "us", or "our"). By accessing or using the Platform, you ("User", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.

1. Eligibility

You must be at least 16 years old (or the minimum age of digital consent in your jurisdiction, whichever is higher) to create an account. By registering, you represent that you meet this requirement and have the legal capacity to enter into these Terms.

2. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at support@storyrole.ai if you suspect unauthorised use.

3. Description of the Service

StoryRoleAI provides AI-powered tools for character design and storyboard generation, including conversational AI character refinement, AI image generation and iterative refinement, project and tag-based organisation, and related features. The Platform may use third-party AI models to deliver these services.

4. Subscriptions and Payment

4.1 Plans

We offer a free trial period and various paid subscription tiers. Plan names, features, pricing, and usage quotas are described on our Pricing page and may change from time to time with reasonable notice.

4.2 Free Trial

New users may be eligible for a 7-day free trial. Free trials are limited to one per individual. Trial quotas are lower than the corresponding paid plan quotas and are designed to let you explore the Platform. A valid payment method is required to start a trial. We reserve the right to determine trial eligibility at our sole discretion. We may decline to offer a trial if we reasonably believe the account or payment method has previously been used for a trial. If you are not eligible for a free trial, you may still subscribe directly at the plan's regular price.

4.3 Billing

Paid subscriptions are billed monthly via Stripe. By subscribing, you authorise us to charge your payment method on a recurring basis. All fees are stated in US dollars unless otherwise indicated.

4.4 Cancellation and Refunds

You may cancel your subscription at any time through the Settings page or the Stripe customer portal. Upon cancellation, you retain access until the end of the current billing period. Fees already paid are non-refundable except where required by applicable law.

4.5 Plan Changes

Upgrades take effect immediately with a prorated charge for the remainder of the billing cycle. Downgrades take effect at the start of the next billing period.

5. Content and Rights

5.1 Ownership

You retain ownership of text, prompts, and other input you provide ("User Content"). Subject to the licence below, we do not claim ownership of your User Content.

5.2 AI-Generated Output

Images, text, and other content generated through the Platform ("Output") are provided to you for your personal or commercial use, subject to these Terms and any applicable third-party licence terms. We do not guarantee that Output is unique or that you will have exclusive rights to it. You are solely responsible for ensuring your use of Output complies with applicable laws.

5.3 Licence to Us

By using the Platform, you grant to StoryRole AI Limited, its affiliates, successors, and assigns a perpetual, worldwide, non-exclusive, sublicensable, no-charge, royalty-free, irrevocable copyright licence to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute the User Content you input into the Platform, as well as any Output produced by you through the Platform. This licence survives termination of these Terms by any party, for any reason.

6. Acceptable Use

You agree not to use the Platform to:

• Generate, upload, or distribute content that is unlawful, defamatory, hateful, sexually exploitative of minors, or that promotes violence or discrimination;
• Infringe the intellectual property, privacy, or other rights of any third party;
• Attempt to circumvent content moderation, usage quotas, or security measures;
• Create multiple accounts, use disposable or temporary email addresses, or employ virtual or prepaid payment methods to circumvent trial or quota limitations;
• Reverse-engineer, scrape, or systematically extract data from the Platform;
• Use the Platform to develop competing AI services; or
• Engage in any activity that disrupts or places an unreasonable burden on the Platform's infrastructure.

We reserve the right to suspend or terminate accounts that we reasonably believe are engaged in violations of this section, with or without prior notice.

7. Content Moderation

We employ automated and manual content moderation to enforce our Acceptable Use policy. Content flagged by our moderation systems may be blocked or removed. You acknowledge that moderation systems are not perfect and may occasionally flag permissible content or miss prohibited content.

8. Intellectual Property

The Platform, including its design, source code, trademarks, and documentation, is owned by StoryRole AI Limited and is protected by intellectual property laws. Nothing in these Terms grants you rights to use our trademarks or branding without prior written consent.

9. DMCA and Copyright Complaints

We respect intellectual property rights and comply with the Digital Millennium Copyright Act (DMCA). If you believe content on the Platform infringes your copyright, you may submit a takedown notice to our designated DMCA agent:

Your notice must include: (a) identification of the copyrighted work claimed to be infringed; (b) identification of the infringing material and information sufficient to locate it on the Platform; (c) your contact information (name, address, telephone number, and email); (d) a statement that you have a good-faith belief that the use is not authorised by the copyright owner, its agent, or the law; (e) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorised to act on behalf of the owner; and (f) your physical or electronic signature.

We will respond to valid DMCA notices promptly and may remove or disable access to the allegedly infringing material. Repeat infringers may have their accounts terminated.

10. Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data.

11. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI-GENERATED OUTPUT WILL BE ACCURATE, ORIGINAL, OR FIT FOR ANY PARTICULAR PURPOSE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STORYROLE AI LIMITED AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless StoryRole AI Limited and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Platform, your User Content, your use of Output, or your violation of these Terms.

14. Modifications to the Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the Platform at least 14 days before they take effect. Your continued use after the effective date constitutes acceptance of the revised Terms.

15. Termination

We may suspend or terminate your account at any time for cause (including breach of these Terms). You may cancel your subscription at any time through the Settings page or the Stripe customer portal. If you wish to delete your account entirely, please contact us at support@storyrole.ai and we will process your request promptly. Upon termination, your right to use the Platform ceases immediately. If your account is terminated by us due to a breach of these Terms, no refund will be issued for any remaining subscription period. We may retain certain data as required by law or for legitimate business purposes, as described in our Privacy Policy.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy and any plan-specific terms presented at the time of purchase, constitute the entire agreement between you and StoryRole AI Limited regarding the Platform.
